1. Acceptance of terms
By accessing or using OptFolio (“Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. We may update these terms; continued use after changes constitutes acceptance of the revised terms.
2. Eligibility
You must be legally capable of entering into a binding agreement in your jurisdiction. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
3. Nature of the Service
OptFolio provides software tools for portfolio tracking, analytics, market screens, news links, and optional AI-assisted summaries using credentials you supply. The Service is a technology product, not a regulated advisory or brokerage relationship. We do not execute trades, hold client securities or funds, or act as your agent with any exchange or clearing corporation.
4. Nature of research tools
OptFolio provides portfolio analytics, market screens, and AI-assisted research tools. Market data may be delayed or incomplete. Past performance is not indicative of future results. OptFolio is not a SEBI-registered intermediary, stock broker, portfolio manager, or investment adviser under the Securities and Exchange Board of India Act, 1992 and related regulations, unless expressly stated otherwise in writing. Market data and news may be delayed, incomplete, or inaccurate. You remain solely responsible for your trading and investment decisions.
5. Your account and credentials
You are responsible for maintaining the confidentiality of login credentials and any third-party API keys (including LLM provider keys) you store in the Service. You must not share accounts in a way that violates applicable law or our fair-use limits. Notify us promptly of unauthorised access.
6. User content and portfolio data
You retain ownership of data you upload (e.g. holdings). You grant us a limited licence to process that data solely to provide the Service. You represent that you have the right to upload such data and that it does not infringe third-party rights.
7. AI and third-party services
AI features may call external model providers using your API keys. Outputs can be incorrect, incomplete, or biased. Market data, charts, and news are obtained from third parties (including public market data sources and news publishers). We do not warrant their accuracy, completeness, or timeliness.
8. Subscriptions and fees
Paid plans are billed via our payment partner (e.g. Razorpay) as described at purchase. Fees are generally non-refundable except where required by law or expressly stated. Plan features and limits may change with notice. Failure to pay may result in downgrade or suspension.
9. Acceptable use
You will not reverse engineer the Service (except as allowed by law), overload systems, scrape in a way that harms providers, use the Service for unlawful market abuse, or misrepresent outputs as regulated advice issued by us.
10. Intellectual property
The Service, branding, software, and documentation are owned by OptFolio or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal purposes during an active subscription or free access period.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
12. Limitation of liability
To the maximum extent permitted by law, we and our affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our aggregate liability for claims relating to the Service shall not exceed the fees you paid us for the Service in the three (3) months preceding the claim (or INR 1,000 if you paid nothing).
13. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service, your investment decisions, your uploaded data, or your violation of these terms or applicable law.
14. Termination
We may suspend or terminate access for breach, risk, or legal requirements. You may stop using the Service at any time. Provisions that by nature should survive (including disclaimers and liability limits) will survive termination.
15. Governing law
These terms are governed by the laws of India. Courts at a competent jurisdiction in India shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived.
